Terms of Service

Effective date: 1 September 2026

These Terms of Service (the "Terms") govern your access to and use of coffeepal.ai and CoffeePal's related services (collectively, the "Service"). By creating an account, purchasing a subscription or Credits, or using the Service, you agree to these Terms.

1. Who we are and the Service

The Service is provided by CoffeePal AI Limited ("CoffeePal", "we", "us" or "our"):

CoffeePal is an AI-assisted tool for specialty coffee roasters, self-roasting cafés, content operators, and coffee product teams. It enables you to upload coffee materials, create coffee visualisation pages and related content, edit and revise that content, and publish pages you choose to make public.

2. Accounts and acceptable use

You must provide accurate account information, keep your credentials confidential, and promptly notify us of suspected unauthorised access. You are responsible for activity under your account except to the extent caused by our failure to take reasonable security measures.

You must not use the Service to:

  • violate applicable law or another person's rights;
  • upload or publish unlawful, defamatory, infringing, deceptive, hateful, sexually explicit, or harmful material;
  • upload personal data or confidential information without a lawful basis or authority to do so;
  • interfere with, probe, overload, reverse engineer, or bypass security controls for the Service;
  • use automated means to access the Service except through a documented interface we authorise; or
  • use the Service to create content that falsely represents food safety, allergen information, origin certification, legal compliance, or regulated professional advice.

We may investigate violations and suspend or terminate access where reasonably necessary to protect the Service, users, rights holders, or comply with law. Where practicable, we will give notice and an opportunity to address the issue.

3. Your content, public pages, and intellectual property

"Your Content" means materials you upload, provide, or submit to the Service, including coffee data, tasting notes, images, logos, text, and prompts. You retain any rights you have in Your Content.

You grant CoffeePal a non-exclusive, worldwide, royalty-free licence to host, reproduce, process, modify, and display Your Content and generated content solely to operate, secure, support, and improve the Service for you, including generating, editing, storing, and publishing the pages you direct us to publish. We do not use Your Content or prompts to train our own general-purpose AI models without your separate, explicit permission.

You represent that you have all rights, permissions, and lawful bases needed for Your Content and for the use you instruct us to make of it. You are responsible for reviewing and deciding whether to publish any generated or edited content. Public pages may be accessible to anyone with the relevant URL.

CoffeePal and its licensors retain all rights in the Service, software, templates, branding, and materials we provide, excluding Your Content. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes and to use the output you generate for your lawful business, marketing, and publication purposes.

4. AI output

The Service uses generative AI. Output can be inaccurate, incomplete, similar to content generated for other users, or unsuitable for a particular purpose. You must independently review output before use, especially any description relating to ingredients, allergens, food safety, origin, sustainability, pricing, or legal/regulatory claims.

CoffeePal does not guarantee that output is accurate, unique, non-infringing, or fit for a particular purpose. The Service does not provide food-safety, medical, legal, financial, tax, certification, or other professional advice.

5. Subscription, Credits, and payment

5.1 Plans and prices

Subscription plans, Credit packages, pricing, taxes, included Credits, generation costs, renewal interval, and promotional terms are shown on the applicable pricing and checkout pages at the time of purchase. Those terms form part of your agreement with CoffeePal for that purchase.

We may change pricing, packages, or generation costs prospectively. For an automatically renewing subscription, a changed price applies only to a future renewal after we provide the notice required by applicable law and a reasonable opportunity to cancel before the charge.

5.2 Subscription renewal and cancellation

Your monthly subscription automatically renews at the disclosed monthly price and interval unless you cancel it. You may cancel at any time from the Price Management page in the Service. Cancellation takes effect at the end of the then-current paid subscription period; no further subscription charge will be made after that period. Cancelling a subscription does not itself create a refund for the current period, except where required by law.

5.3 Credits

Credits are prepaid internal usage units for designated CoffeePal generation and Service features. They are not money, stored value, a bank deposit, or transferable property, and cannot be exchanged for cash, transferred, resold, or used outside the Service except where required by law.

The Service will show the Credits required before you submit a generation task. Credits are deducted once a task is submitted for processing, unless the relevant page states otherwise. A new generation or regeneration may require a new deduction. If a task fails for a CoffeePal system or technical reason and does not produce a valid result, we will return the Credits charged for that task.

Paid Credits do not expire. Subscription-included Free Credits are issued for the relevant monthly subscription period and do not roll over to the next subscription period. When you use the Service, subscription-included Free Credits are consumed before Paid Credits. Promotional Credits may have different conditions or expiry dates, which will be shown when they are issued. We will show your available balance and material Credit transactions in the Service.

5.4 Payment, refunds, taxes, and chargebacks

Payments are processed by the payment provider identified at checkout. We do not receive or store your full payment-card number where it is collected directly by that provider. Payment providers process personal data under their own terms and privacy notices.

Except where required by law, a completed purchase of Credits or a subscription payment is non-refundable after the Credits or paid Service has been made available. This does not limit refunds or remedies for failed generation, incorrect charges, cancellation rights that cannot lawfully be waived, or any other mandatory consumer right.

Prices are in HKD unless checkout states otherwise. Applicable taxes, bank charges, foreign-exchange charges, and payment-provider fees will be displayed or allocated as required by law and at checkout. If a payment is reversed, refunded, charged back, unauthorised, or reasonably suspected to be fraudulent, we may suspend the affected account or reverse the related Credits after giving notice where practicable.

6. Privacy

Our Privacy Policy explains how we process personal data, including content you upload, application hosting and storage in AWS Singapore, use of Cloudflare, Gemini API, and OpenAI API, and your privacy rights. Our Cookie Policy explains the use of cookies and similar technologies.

7. Availability, suspension, and termination

We may modify, maintain, or discontinue features where reasonably necessary for security, legal compliance, technical reasons, or Service development. We will use reasonable efforts to give advance notice for material planned changes that significantly reduce a paid feature during a current subscription period.

You may stop using the Service at any time and request account deletion under our Privacy Policy. We may suspend or terminate your access for material breach, unlawful use, non-payment, or security risk. On termination, your right to use the Service ends. We will handle personal data and records as described in the Privacy Policy and applicable law.

8. Disclaimers and limitation of liability

The Service is provided on an "as available" basis. To the maximum extent permitted by law, we disclaim warranties not expressly stated in these Terms, including warranties of uninterrupted availability, accuracy, merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation. Subject to that sentence, CoffeePal is not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit/revenue/data damages. CoffeePal's total aggregate liability arising from or relating to the Service will not exceed the greater of (a) the fees you paid to CoffeePal for the Service in the 12 months before the event giving rise to the claim, or (b) HKD 1,000.

9. Indemnity

To the extent permitted by law, you will indemnify CoffeePal and its personnel against third-party claims, losses, and reasonable costs arising from Your Content, your public pages, or your material breach of these Terms, except to the extent caused by CoffeePal's breach, negligence, or unlawful conduct.

10. Changes to these Terms

We may update these Terms to reflect legal, security, product, or business changes. We will publish the new effective date and provide reasonable advance notice of material adverse changes. Changes apply prospectively. If you do not agree, you may stop using the Service and cancel before the change takes effect; mandatory rights remain unaffected.

11. Governing law and disputes

These Terms are governed by the laws of Hong Kong, except where the mandatory law of your place of residence or business provides otherwise. The courts of Hong Kong have non-exclusive jurisdiction over disputes arising from these Terms, without limiting any mandatory right you may have to bring a claim elsewhere.

12. General

If a provision of these Terms is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, restructuring, or transfer of the Service, subject to applicable law. These Terms and the policies they incorporate are the entire agreement concerning the Service.

13. Language

These Terms are made available in English, Simplified Chinese, Traditional Chinese, and Korean. In the event of any inconsistency, the English version governs to the extent permitted by applicable law. Nothing in this clause limits any mandatory right or protection under applicable law.
